CHK products and services are intended exclusively for companies and other organisations (B2B). By accepting a proposal or placing an order, the client confirms that it is acting in the course of its business.
These Terms prevail over any general terms of the client, even if drawn up later. The specific conditions of each proposal, contract or order prevail over these Terms where they differ. Any derogation is valid only if agreed in advance and in writing.
2. Proposals and orders
- Proposals are valid for 5 working days from the date of issue, unless the proposal states otherwise.
- The contract is formed when the client accepts the proposal in writing (signature, purchase order or e-mail) or, in the online shop, when CHK confirms the order.
- CHK may refuse or cancel an order in case of an obvious pricing error, manufacturer stock shortage or overdue debt by the client, informing the client and refunding any amount already paid.
3. Prices and exchange rate
- Prices exclude VAT (IVA), which is added at the legal rate in force, and any other applicable taxes, unless stated otherwise.
- Payments are made in Kwanzas (AOA). Where a proposal is stated in a foreign currency, the Standard Bank Angola selling exchange rate on the invoice date applies.
- CHK may revise the value of an unpaid proposal if the exchange rate varies by more than 3% or if the manufacturer or distributor changes its price, informing the client before proceeding. In that case the client may cancel the order at no cost.
4. Payments
- Payments are made by bank transfer to the account stated on the invoice. CHK does not accept card payments through the website.
- Products (hardware, software and licences) require full payment in advance, unless otherwise agreed in writing.
- Services are invoiced as set out in the proposal and are payable within 21 working days of the invoice date, unless a different term is stated on the invoice or order.
- For services, the client withholds the 6.5% tax provided for in the Angolan Industrial Tax Code and sends CHK the corresponding receipt.
5. Late payment
- In case of late payment, CHK may charge a one-off penalty of 10% of the amount due and suspend the delivery of products or the provision of services, after notifying the client by e-mail.
- New orders are delivered only after any overdue debt has been settled.
- If a payment is more than 60 days overdue, CHK may take out-of-court or court collection action, and the client shall bear the reasonable collection costs.
6. Delivery and lead times
- Delivery times are estimates. For hardware ordered from foreign suppliers, the lead time is at least 3 weeks after payment.
- Software licences and subscriptions are activated once payment is confirmed.
- Risk in the products passes to the client on delivery. Ownership passes only after full payment.
- Delays caused by the manufacturer, carrier or customs do not give rise to compensation, but CHK will keep the client informed and look for alternatives.
7. Software licences and subscriptions
- Licences and subscriptions (for example Microsoft 365, Adobe, Kaspersky or Fortinet) are subject to the respective manufacturer's licence terms, which the client accepts on activation.
- Term, renewal, changes in the number of users and cancellation follow the manufacturer's rules stated in the proposal. Once activated, they are non-refundable, except where the manufacturer allows it.
8. Services and client obligations
- CHK provides its services diligently, in line with industry best practice and the agreed time frames. Its obligations are obligations of means, not of result, unless the proposal expressly guarantees a result or service level (SLA).
- The client undertakes to provide timely access, information and decisions. If the client fails to respond for more than 45 consecutive days on matters requiring its decision, suspends the project or withdraws after award, CHK is entitled to compensation of 50% of the expenses already incurred, in addition to payment for services already provided.
9. Warranties and complaints
- Hardware and software are covered by the manufacturer's warranty, under the terms and periods it sets. CHK assists with warranty claims.
- Visible defects or missing products must be reported within 8 days of delivery. Defects in services must be reported within 8 days of completion or detection.
- Complaints must be made in writing through the form at www.chk.co.ao/reclamacoes or to geral@chk.co.ao.
- Returns, cancellations and refunds follow the Returns and Refunds Policy.
10. Liability
- CHK's total liability for each order or contract is limited to the amount paid by the client for that product or service in the 12 months before the event giving rise to the claim.
- CHK is not liable for loss of profit, loss of data not backed up by the client, or indirect damage.
- These limits do not apply in cases of wilful misconduct or gross negligence by CHK, or in any other case where the law does not allow liability to be limited.
- CHK cannot be required to appear as a third party in claims brought by end customers against the client.
11. Confidentiality and intellectual property
- Both parties keep confidential any technical and commercial information they have access to, during the contractual relationship and for 5 years after it ends.
- CHK's methodologies, tools, documentation and materials remain CHK's property. The client receives the right to use them for the agreed purposes.
12. Data protection
CHK processes personal data in accordance with Law no. 22/11 of 17 June (Personal Data Protection Law) and its Privacy Policy. Where CHK processes personal data on behalf of the client, it acts on the client's instructions and with appropriate security measures.
13. Force majeure
Neither party is liable for failures caused by events beyond its reasonable control, such as natural disasters, widespread power or communications failures, acts of authority, import restrictions or manufacturer unavailability, for as long as those events last.
14. Notices, changes and governing law
- Notices between the parties may be sent by e-mail to the addresses stated in the proposal or order.
- CHK may update these Terms. The version in force is always on this page, with the date of the last revision, and applies to proposals and orders made after that date.
- These Terms are governed by Angolan law. The Luanda District Court (Tribunal da Comarca de Luanda) has jurisdiction over any dispute, unless the parties agree otherwise.
- In case of any discrepancy between the Portuguese and English versions, the Portuguese version prevails.
